TERN SYSTEMS' CODE OF CONDUCT

​​​​Purpose and Scope

Our Code of Conduct guides us in our professional activities. While it sets out good work practices, it does not prevent us from exercising our better judgement depending on the situation at hand. It helps us show respect for each other and to be honest with ourselves and others. The Code of Conduct covers all the company’s activities, staff events and work travel. It applies to staff, managers and the company’s management boards.

Personal Conduct

  •  We treat colleagues and business partners with respect and show zero tolerance to bullying, sexual harassment, gender-based harassment and other forms of violent behaviour.

  • We do not discriminate on grounds of sex, religion, personal views, ethnic origin, race, colour, financial situation, birth, disability, age or status.

  • We work carefully and conscientiously and ensure that our conduct does not compromise our work or the company’s reputation.

  • We strive to show respect in our dealings with others and to foster positive and constructive relationships.

Work Practices

  • We adhere to usual, sound work practices and always endeavour to combat corruption, bribery, oppression and fraud.

  • We do not abuse our position or power for personal interest.

  • We do not give or accept gifts or other privileges, whether direct or indirect, for ourselves or others that may impair our independence or neutrality in our work.

  • We avoid any involvement in handling matters relating to our own interests or those of our affiliates and inform management of any issues that may give rise to conflicts of interest.

  • We report any legal violation or other reprehensible conduct.

Disclosure and Confidentiality

  • We protect privacy and respect the feelings, personal space and personal life of others.

  • We do not make public video footage or any other type of material (including on social media), which may cause the company, colleagues or business partners harm, unless consent for publication has been granted.

  • We do not use information that we obtain in the course of our duties to serve our own interests. Special care should be taken when using, storing, copying and deleting confidential information, including surveillance camera footage.

  • We respect the secrecy of confidential information, even after leaving the company.

Business Practices

  • We conduct ourselves professionally and honestly and demonstrate this by following established business practices. 

  • We always adhere to the company’s ownership policy, general policy, support policies

  • and Code of Conduct.

  • We consider the economic, social and environmental impact of the decisions we make,

  • thereby achieving sustainability.

  • We adhere to the Ten Principles of the UN Global Compact on human rights, labour, the environment and anti-corruption, and take account of the UN’s Sustainable Development Goals in our work. We make the same requirements of our suppliers, in accordance with their own codes of conduct.

  • We ensure that all new decisions comply with existing laws, regulations and international treaties to which the Company adheres.

Penalties for Breaches of the Code of Conduct

Serious or repeated breaches of the Code of Conduct may lead to dismissal. Breaches and irregularities may have serious consequences, and staff may also incur personal liability for acts or omissions. The Code of Conduct shall be presented to staff and made available and accessible on the company’s internal and external websites.

 

The Code of Conduct is now in force and the CEO of Tern Systems is responsible for its enforcement.
